Companies Act 2006 -  final provisions from 1st October

The final provisions of the Companies Act 2006 will come into force on 1 October 2009.    The changes included will affect the:

Memorandum of Association:  For companies incorporated on or after 1st October 2009, this will simply be a short statement of desire to incorporate the company, the company name and its initial share capital.  For existing companies, other provisions in the memorandum, including the objects clause and authorised share capital, will be treated as part of its articles of association (no re-filing required).  Under the 2006 Act, companies will also be able to remove the objects clause and have unlimited objects.

Authorised Share Capital:  Companies incorporated on or after 1st October 2009 will not require to have authorised share capital and directors will be able to issue shares without limitation.  Existing companies will be able to remove the limit on authorised share capital by passing an ordinary shareholders resolution.

Company Name:  Directors may change the company's name without approval from shareholders provided they are allowed to do so by the articles of association.

Directors' addresses:  Companies will have to file for each director a service address and the country of usual residence, in addition to the home address.  Their home addresses will not be put on the public record after the 1 October.

How to become  a successful business leader

In today's world, you need to influence and persuade peers, contractors, managers as well as employees.  Here are five tips to assume authority in any situation:

1. Enthusiasm is contagious. Your genuine excitement about a project will motivate others to become engaged and care about it.

2. It's not about your ego. No one wants to be responsible for making you feel important.  Assume authority by demonstrating excellence in your field, not soliciting others' approval.

3. Lead quietly. When you don't have formal authority propping you up, others will be suspicious if you act too forcefully. Show well grounded confidence, get everyone involved, and ask questions along the way.

4. Keep your eyes on the prize. Don't focus on details before the big picture is laid out. Keep the larger project goal in mind and resist temptation to dwell on small details.

5. Micromanage when it's time. Almost every project requires some detail work. When you reach that point, and only then, unleash the micromanager in you to handle it.





EU report criticises e-retailers

Over half of European electronics e-retailers are misleading or cheating e-shoppers, according to an EU investigation.  Checks carried out on 369 web sites selling DVD players, mobile phones, digital cameras and game consoles in 28 European countries revealed that 203 of them are misleading shoppers about their consumer rights or shipping costs.

The biggest failure by the web sites related to the right for consumers to return a product bought online within seven days, the EU investigation found.  Around two thirds of the problem sites failed to inform or misinformed shoppers about their right to cancel orders and return products without reason.  Others failed to advise consumers they have the right to have a faulty product repaired or replaced for at least two years after purchasing it.  Around a third of the problem sites did not clearly display their address or contact details.

The e-retailers facing further investigation will now be contacted by the authorities and asked to correct the problems identified. Web sites that fail to respond could face warning letters and then enforcement action.

Worldwide online ad spending contracts for the second consecutive quarter
Worldwide spending on Internet advertising contracted for the second consecutive quarter, by 5%, to $13.9 billion from $14.7 billion in the same quarter a year ago. IDC's Worldwide and U.S. Internet Ad Spend Report 2Q09 (forthcoming) found that all global regions posted losses, with the exception of the Asia/Pacific region and Japan, which saw slight gains in the second quarter.

In the US, all major publishers' ad sales declined, for the most part at double-digit loss rates, with Google being the only exception, posting low single-digit growth.

YOUR RANT...

Okay, I understand how this works: you buy stuff in countries where the average wage is £2.50 a month, you then ship it in a big boat to a Western country with thousands more things, stick it on the shelf and charge £50.00 for it.  It is a great profit for the retailer, but just when did the retailers persuade us that it’s a great hobby, too.  Along comes the weekend and it’s "What will we do this weekend? I know let’s go shopping”. 

Maybe in 2012 shopping should become an Olympic sport; the stadium is already built, it’s called Westfield Centre!
